Agreement to Terms

By using the services of OrderVoice AI, LLC (“OrderVoice,” “we,” “us,” or “our”), you agree to these Terms of Service. If you disagree with any part of these terms, you may not use our services.

Description of Service

OrderVoice provides AI-powered phone answering services for restaurants, including:

• Automated call answering
• Order taking and processing
• Menu information and customer inquiries

Eligibility

Our services are intended for business use by restaurants and food service establishments. You must be at least 18 years old and authorized to enter into this agreement on behalf of your business.

Account Registration

To use our services, you must:

• Provide accurate business information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

Service Setup

• Setup usually takes about 2 weeks after we receive your menu and answers to our setup questions
• You provide menu information, business hours, and preferences
• We customize the AI assistant to your restaurant’s needs
• Testing and training period included

Pricing and Payment

• Subscription fees are billed monthly, month to month. There are no annual plans
• $49 a month, plus $1 per order. Once billing starts, a month with no orders costs just $49
• You pay nothing until the service has taken 50 correct orders for you, as your signed agreement defines them. After that, each month is billed in advance and is due within 7 days
• Founding prices are locked for 2 years from the first bill. After that, any price change comes with at least 60 days’ notice, and you may cancel before it takes effect
• No long-term contracts required - cancel anytime

Service Level and Availability

• We do not promise a specific uptime percentage
• Scheduled maintenance will be announced in advance
• No guarantee of uninterrupted service
• We are not liable for downtime due to circumstances beyond our control

Use of Service

You agree to:

• Use the service only for lawful purposes
• Not attempt to circumvent security measures
• Not resell or redistribute our services
• Provide accurate menu and business information
• Keep your account information current

AI Service Limitations

While our AI is highly capable, you acknowledge:

• AI may occasionally misunderstand complex requests
• Human oversight may be necessary for unusual situations
• Service quality depends on clear audio and caller cooperation
• We continuously improve but cannot guarantee 100% accuracy

Data and Privacy

• You retain ownership of your business data
• We process call data to provide services
• See our Privacy Policy for details on data handling
• You are responsible for complying with applicable privacy laws

Text Messages (SMS)

This section is for people who get texts about a restaurant order. It applies to you even though the rest of these Terms are written for restaurants.

• Program: OrderVoice order texts. OrderVoice takes phone orders for restaurants. If you say yes on the call, OrderVoice will text you about your order from its own number, (877) 626-0583. Each text will start with the name OrderVoice and name the restaurant you ordered from.
• How you agree: when texting starts, the order taker will ask a separate question: do you agree to get text messages from OrderVoice? We will text you only if you clearly say yes. Texts are optional. You do not need them to order or to pay. The exact words are at ordervoice.ai/texts. Your yes is only for these texts. It is separate from your order and from any other terms.
• Which phone: we will text the mobile number you’re calling from, or another mobile number you give on the call. Agree only for a phone that’s yours or that you’re allowed to use.
• What we send: your order confirmation with a link to see your order, updates on that order (such as ready), and, for some big orders, a link to pay the restaurant so it can start your order. Never marketing or promotions.
• How often: message frequency varies, up to 3 texts per order.
• Cost: Message and data rates may apply.
• To stop: reply STOP. We’ll send one text confirming you’re unsubscribed, then no more. END, CANCEL, UNSUBSCRIBE, QUIT, STOPALL, REVOKE and OPTOUT also work, and we honor any other clear request, such as “stop texting me” or an email to hello@ordervoice.ai. To start again, reply START.
• Help: reply HELP, or email hello@ordervoice.ai.
• Scope: your yes covers OrderVoice texts about your orders from that restaurant, until you reply STOP. STOP ends all OrderVoice texts to your phone.
• Replies: our texting number cannot read replies. To change or cancel an order, call the restaurant. STOP, START and HELP still work.
• Order page: the link in your text opens a page with your items, the total, the pickup time and the order status. Anyone with the link can see it. It stops working 24 hours after your pickup time.
• Payments: a pay link opens a secure checkout page to pay the restaurant. The restaurant gets the money and handles refunds.
• Wireless carriers are not liable for delayed or undelivered messages.
• Privacy: see our Privacy Policy. We do not share or sell your mobile number or texting consent to third parties or affiliates for marketing or promotional purposes.
• OrderVoice will send texts only as this section describes, and will never send marketing texts.

Intellectual Property

• OrderVoice retains all rights to our software and AI models
• You retain rights to your business information and brand
• You grant us license to use your information to provide services
• Neither party may use the other’s trademarks without permission

Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to fees paid in the prior 3 months
• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for lost revenue due to service issues
• Some jurisdictions do not allow liability limitations

Indemnification

You agree to indemnify OrderVoice against claims arising from your use of the service, your violation of these terms, or your violation of any laws or third-party rights.

Termination

• You may cancel at any time with notice
• We may terminate for breach of terms
• We may terminate with 30 days notice for any reason
• If you cancel before your first bill, you owe nothing. After that, cancelling takes effect at the end of the month you’ve paid for, with no exit fee

Dispute Resolution

• Governed by the laws of New York State
• Venue for any legal proceedings: the courts in Oneida County, New York

Changes to Terms

We may modify these Terms of Service with notice. Continued use after changes constitutes acceptance.

Entire Agreement

If you have signed a service agreement with OrderVoice, that agreement governs your service instead of these Terms. Otherwise, these Terms, along with our Privacy Policy, are the entire agreement between you and OrderVoice.

Severability
